1. Agreement to Terms

By accessing or using our website, creating an account, purchasing any product or service, or otherwise engaging with our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must immediately discontinue use of our Services.

These Terms apply to all visitors, users, customers, and others who access or use the Services.

2. Eligibility

You must be at least 18 years of age and possess the legal capacity to enter into a binding contract in your jurisdiction to use our Services. By using our Services, you represent and warrant that you meet these eligibility requirements.

If you are accessing or using our Services on behalf of a business or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms, and references to "you" in these Terms will refer to both you individually and that entity.

Our Services are not directed to children under the age of 13, and we do not knowingly collect personal information from children under 13. If we learn that we have collected personal information from a child under 13, we will take steps to delete that information as quickly as possible. Aigility Hub provides professional services in the field of artificial intelligence education, implementation, and consulting. Our Services may include, but are not limited to:

• Membership programs offering ongoing access to content, community, and support
• Consulting and professional services tailored to business needs
• Webinars, workshops, and live training events
• Access to proprietary methodologies, frameworks, and systems

The specific features, content, duration, and deliverables of each Service or product are described in the applicable sales page, product description, or service agreement. We reserve the right to modify, suspend, or discontinue any Service or product at any time, with or without notice, though we will make reasonable efforts to provide advance notice of material changes affecting active customers.

Certain Services may be offered on a subscription basis with recurring billing, while others are one-time purchases. The specific terms applicable to your purchase will be clearly stated at the time of purchase.

4. Accounts and Registration

To access certain features of our Services, you may be required to create an account. When you create an account, you agree to:

• Maintain the security and confidentiality of your account credentials, including your password

You may not use another person's account without permission, create multiple accounts for yourself, or share your account credentials with others. We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe have been compromised.

You are solely responsible for any and all activities conducted through your account. We will not be liable for any loss or damage arising from your failure to maintain the security of your account credentials.

5. Purchases, Pricing, and Payment

All purchases of Services and products are subject to acceptance by us. We reserve the right to refuse or cancel any order for any reason, including but not limited to product or service availability, errors in pricing or product information, or suspected fraudulent or unauthorized transactions.

Prices for our Services and products are stated in the currency indicated on the applicable sales page and are subject to change at any time without notice. However, changes to pricing will not affect orders already confirmed and paid.

Payment is processed through third-party payment processors, which may include Stripe, PayPal, or other reputable payment service providers. By making a purchase, you authorize us to charge the payment method you provide for the total amount of your purchase, including any applicable taxes. You represent and warrant that you have the legal right to use the payment method you provide.

We do not store or have access to your complete credit card or banking information. Payment security and processing are handled entirely by our third-party payment processors in accordance with industry standards, including PCI DSS compliance where applicable.

For subscription-based Services, you authorize us to charge your payment method on a recurring basis according to the billing cycle you selected (monthly, quarterly, annually, or otherwise as specified). Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. You are responsible for canceling your subscription if you do not wish to continue, and you will continue to be charged until you do so.

You are responsible for all applicable taxes, duties, and governmental charges associated with your purchase, except for taxes based on our net income. If we are required to collect or pay taxes on your purchase, those amounts will be charged to you at the time of purchase or subsequently if we later determine we have a collection obligation.

6. Refund and Cancellation Policy

To request a refund where eligible, contact us at hello@aigilityhub.com with your order details. Refunds, when granted, will be issued to the original payment method within a reasonable timeframe, typically within 10 business days of approval.

Certain products and services, including but not limited to digital downloads that have been accessed, personalized coaching sessions that have been delivered, and services that have been substantially performed, may not be eligible for refunds. These limitations will be clearly stated before purchase.

7. Intellectual Property and License to Use

All content, materials, features, and functionality available through our Services, including but not limited to text, graphics, logos, images, videos, audio, software, course materials, frameworks, methodologies, templates, and other creative works (collectively, "Our Content"), are owned by Aigility Hub, our licensors, or other content providers, and are protected by Canadian and international copyright, trademark, patent, trade secret, and other intellectual property laws.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use Our Content solely for your personal, non-commercial use in connection with the Services you have purchased or to which you have been granted access.

This license does not permit you to:

• Modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell any Our Content
• Use Our Content for any commercial purpose or for any public display
• Remove, alter, or obscure any copyright, trademark, or other proprietary notices from Our Content
• Access or use Our Content in any way not expressly permitted by these Terms
• Share your account access or course materials with others who have not purchased their own access
• Record, screenshot, or otherwise capture Our Content for redistribution or use outside the Services

Certain Services may include downloadable materials, templates, or resources that you are permitted to use in your own business or personal projects. 8. User Content and Acceptable Use

Our Services may allow you to submit, post, or share content, including but not limited to comments, questions, testimonials, reviews, photos, videos, or other materials ("User Content"). • Transmit any material that contains viruses, malware, or other harmful computer code
• Interfere with or disrupt the Services or servers or networks connected to the Services
• Attempt to gain unauthorized access to any portion of the Services, other accounts, or any systems or networks connected to the Services
• Use any automated means, including robots, crawlers, or scrapers, to access or collect data from the Services
• Engage in any activity that could damage, disable, overburden, or impair the functioning of the Services

We reserve the right, but are not obligated, to monitor, review, edit, or remove any User Content at our sole discretion, for any reason or no reason, including if we determine that User Content violates these Terms or may create liability for us.

Our Services may contain links to third-party websites, applications, services, or resources that are not owned or controlled by Aigility Hub. We may also integrate with or recommend third-party tools, platforms, or services as part of our educational content or business operations.

We have no control over and assume no responsibility for the content, privacy policies, terms of service, or practices of any third-party websites, services, or resources. You acknowledge and agree that we are not responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with your use of or reliance on any such third-party content, goods, or services.

The inclusion of any link or integration does not imply our endorsement of the linked site, service, or resource. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, AIGILITY HUB DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that:

• The Services will be uninterrupted, timely, secure, or error-free
• The results that may be obtained from use of the Services will be accurate, reliable, or complete

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL AIGILITY HUB, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, REVENUE, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICES, WHETHER IN CONTRACT, TORT, OR OTHERWISE, SHALL NOT EXCEED THE AMOUNT YOU PAID TO US FOR THE SPECIFIC SERVICE OR PRODUCT GIVING RISE TO THE CLAIM DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR ONE HUNDRED DOLLARS ($100 CAD) IF NO SUCH PAYMENTS WERE MADE.

The limitations and exclusions in this section apply regardless of the theory of liability, whether based on warranty, contract, statute, tort (including negligence), or otherwise, and even if we have been advised of the possibility of such damages.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or the limitation or exclusion of liability for incidental or consequential damages. Accordingly, some of the limitations above may not apply to you. In such jurisdictions, our liability will be limited to the greatest extent permitted by law.

12. Indemnification

You agree to defend, indemnify, and hold harmless Aigility Hub, its officers, directors, employees, agents, affiliates, licensors, and service providers from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including but not limited to reasonable attorneys' fees and costs) arising from or relating to:

• Your access to or use of the Services
• Your violation of these Terms
• Your violation of any third-party rights, including but not limited to intellectual property, privacy, publicity, or other proprietary rights
• Your User Content or any content you submit, post, or transmit through the Services
• Any misrepresentation made by you
• Your violation of any applicable laws or regulations

We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with our defense of such claim. You will not settle any claim that affects us or our rights without our prior written consent.

This indemnification obligation will survive the termination of these Terms and your use of the Services.

13. Term and Termination

These Terms commence when you first access or use our Services and continue until terminated by either you or us.

You may terminate these Terms at any time by discontinuing your use of the Services and, if you have an account, by closing your account. If you have an active subscription, you must cancel it according to the procedures described in Section 6 to avoid continued billing.

We may suspend or terminate your access to the Services, in whole or in part, at any time and for any reason, including but not limited to:

• Violation of these Terms or any applicable law or regulation
• Fraudulent, harassing, or abusive behavior
• Requests by law enforcement or other government agencies
• Discontinuance or material modification of the Services
• Unexpected technical or security issues
• Extended periods of inactivity
• Non-payment of fees owed

We will make reasonable efforts to provide you with notice of termination where practicable, but we reserve the right to terminate access immediately without notice where we reasonably believe such action is necessary.

Upon termination:

• Your right to access and use the Services will immediately cease
• You will remain responsible for all fees and charges incurred prior to termination
• We may delete your account and any User Content associated with your account, though we are not obligated to do so
• You must immediately cease all use of Our Content and any materials provided through the Services

The following provisions will survive termination of these Terms: Sections 5 (to the extent of payment obligations incurred), 7 (Intellectual Property), 8 (with respect to the license you granted us), 10 (Disclaimers), 11 (Limitation of Liability), 12 (Indemnification), 14 (Dispute Resolution and Governing Law), and 16 (Severability and Entire Agreement).

14. Dispute Resolution and Governing Law

These Terms and any dispute or claim arising out of or relating to these Terms or the Services (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of Canada and the province in which Aigility Hub operates, without regard to conflict of law principles.

Informal Resolution: Before initiating any formal dispute resolution proceeding, you agree to first contact us at hello@aigilityhub.com to attempt to resolve the dispute informally. We will attempt to resolve the dispute informally by contacting you via email. If a dispute is not resolved within sixty (60) days after submission, you or we may initiate formal dispute resolution proceedings.

Binding Arbitration: If we cannot resolve a dispute informally, any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be resolved by binding arbitration administered by a recognized arbitration organization in Canada, in accordance with its applicable arbitration rules. The arbitration shall be conducted by a single arbitrator, and the arbitrator's decision shall be final and binding on both parties. The arbitration shall take place in Canada, and judgment on the arbitration award may be entered in any court having jurisdiction.

Class Action Waiver: You and Aigility Hub agree that any proceedings to resolve disputes will be conducted on an individual basis and not in a class, consolidated, or representative action. Neither you nor we may participate in a class action, private attorney general action, or other representative action as a class member. You and we each waive the right to a jury trial.

Exceptions: Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights.

Venue: If for any reason a dispute proceeds in court rather than through arbitration, you and we agree to submit to the exclusive jurisdiction of the courts located in Canada for resolution of any such dispute.

Some jurisdictions do not allow certain dispute resolution provisions. If you are located in such a jurisdiction, some or all of the provisions in this section may not apply to you.

15. Changes to These Terms

We reserve the right to modify or update these Terms at any time at our sole discretion. When we make changes, we will update the "Last updated" date at the top of these Terms and, where appropriate, notify you of material changes.

For material changes, we will provide notice by:

• Sending an email to the address associated with your account (if you have one)
• Providing notice through the Services

Your continued use of the Services after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the modified Terms, you must discontinue your use of the Services.

16. Severability and Entire Agreement

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions will continue in full force and effect. The invalid, illegal, or unenforceable provision will be modified to the minimum extent necessary to make it valid, legal, and enforceable while preserving its intent, or if such modification is not possible, it will be severed from these Terms.

These Terms, together with our Privacy Policy and any other policies or agreements referenced herein or presented to you in connection with specific Services or products, constitute the entire agreement between you and Aigility Hub regarding your use of the Services and supersede all prior or contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Services.

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by an authorized representative of Aigility Hub.

You may not assign or transfer these Terms or your rights and obligations under these Terms, in whole or in part, without our prior written consent. We may assign or transfer these Terms or our rights and obligations under these Terms at any time without restriction and without notice to you.
